General Terms and Conditions for Product Supply
ORDERS
Please note that the sale of our products is exclusively reserved for companies and not available to private individuals.

Telephone orders must be confirmed in writing, clearly stating: *"telephone order confirmation."*
For orders placed via fax, email, traditional mail, or telephone, a minimum order value of €100 (excluding VAT) is required. For orders below this amount, an administrative handling fee of €14.00 (excluding VAT) will be applied.
When placing orders, please specify the catalog or related offer codes and indicate the number of packages of the standard packaging.
We reserve the right to cancel all or part of orders or contracts in case of unforeseen supply difficulties due to force majeure or justified reasons, whether occurring in our facilities or at those of our suppliers.
We also reserve the right to terminate contracts or suspend deliveries if there are changes in the purchaser's financial conditions (e.g., bankruptcy, liquidation, insolvency, etc.).
PACKAGING AND TRANSPORTATION COSTS
Goods are always delivered ex-works from our warehouses, and transportation costs are charged at cost. The choice of packaging or shipping methods, as required by transport laws and regulations, is deemed to be pre-approved by the customer.
A transport cost contribution of up to €30.00 per order will be charged, regardless of the number of shipments required for the order.
SPECIAL TRANSPORTS
Transport on ice is charged at €35 per shipment. Special transport costs for weight, size, or product hazard will be quoted on a case-by-case basis.
STANDARD PACKAGING
Customers are reminded of safety, storage, and handling issues. These can be avoided by purchasing chemicals, particularly hazardous ones, in standard packaging sizes of:
- 6x500 g/ml
- 6x1 kg/l
- 4x2.5 kg/l
COMPLAINTS AND RETURNS
Complaints regarding product quality issues or damages during transport and delivery must be made in writing within 8 days of receipt of the goods, referencing the shipping document.
Returns of products are not accepted without explicit authorization from Ecoprisma S.r.l.. Returned products must include an accompanying delivery note referencing the original shipping document and the reason for the return.
Products ordered in error may be returned, subject to prior authorization from Ecoprisma S.r.l. Transport costs will be borne by the sender, and an 80% credit of the returned goods' value will be issued, provided the products are in perfect condition and in their original, intact packaging.
Please always accept delivered goods with reservation if you cannot verify their contents immediately upon delivery.
TECHNICAL STAFF SERVICES
Technical staff services will be charged according to the applicable rates in our company. Invoice settlements will not be made unless expressly agreed upon in writing by the contractor.
PROMOTIONS
Promotional offers cannot be combined with other discounts or benefits of any kind.
PRICES AND VALIDITY
Net prices quoted in offers include costs for standard packaging but exclude VAT and excise duties.
Ecoprisma S.r.l. reserves the right to modify prices at any time due to changes in purchase costs. Products will be supplied at the updated prices effective on the shipment date.
If price changes occur after the customer's order or our order confirmation, Ecoprisma S.r.l. will notify the customer before proceeding with shipment. The customer must respond in writing within 5 working days, indicating acceptance or refusal of the new prices. If declined, Ecoprisma S.r.l. reserves the right to cancel the order or the affected portion at its discretion.
Some imported product prices may vary depending on exchange rate fluctuations with the Euro.
PAYMENT TERMS
Unless otherwise specified in the order acceptance, full payment must be made to the address indicated on the invoice via bank transfer in advance, starting from the invoice date.
For overdue payments, interest will be applied as per Legislative Decree 231/2002.
For new customers (excluding public entities), payment in advance is required unless otherwise agreed with **Ecoprisma S.r.l.**.
TRANSPORTATION
In the absence of prior agreements or specific offers, the customer must indicate the desired transport method. If not specified, Ecoprisma S.r.l. will choose the most suitable transport method and communicate the cost.
Goods delivered under *carriage paid* terms are delivered to the street level with packaging suitable for the product. Additional costs for specific delivery requirements or lifting equipment for upper-floor deliveries will be quoted separately following an inspection by a specialized courier (refer to the *Special Transports* section).

Delivery times are indicative and non-binding.

WARNINGS: PRODUCT USAGE
Our products are intended for professional laboratory use according to their documentation and specifications.
The use of our products as active ingredients in human or veterinary medicines is prohibited. They are not intended for pharmaceutical, cosmetic, agricultural use, as food additives, pesticides, or for domestic purposes.
Customers wishing to use these products for pharmaceutical, cosmetic, food, or other purposes must conduct internal checks and ensure compliance with local and European regulations (e.g., European Pharmacopoeia).
Ecoprisma S.r.l. will not be held responsible for the inappropriate use of products.
Customers are responsible for compliance with applicable health, environmental, and safety regulations and must take necessary actions for the storage, handling, sale, and use of the products.
PRIVACY PROTECTION
See the information provided under Articles 13-14 of GDPR 2016/679 (General Data Protection Regulation).
LEGAL JURISDICTION
Any disputes arising from the supply of equipment or the execution of the sales contract and warranty services will fall under the exclusive jurisdiction of the Court of Prato, Italy.
By placing an online order, the general terms and conditions of sale are deemed automatically accepted.
